1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Asymptote Labs Inc. ("Asymptote," "we," "us," or "our") governing your access to and use of our security platform for agentic coding systems, including our website, APIs, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

Asymptote provides a security layer for agentic coding platforms. Our Services include:

• Real-time security policy evaluation for code changes generated by AI coding agents
• Customizable security policies and guardrails
• Integration with AI coding platforms, IDEs, and CI/CD pipelines
• Security dashboards and reporting
• API access for programmatic security evaluations

3. Account Registration

To access certain features of our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion.

4. Acceptable Use

You agree not to:

• Use the Services for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, or disassemble any aspect of the Services

5. Intellectual Property

The Services and all content, features, and functionality (including but not limited to software, text, graphics, logos, and trademarks) are owned by Asymptote Labs Inc. and are protected by copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes.

You retain all rights to your code and data that you submit to the Services. By using our Services, you grant us a limited license to process your code and data solely for the purpose of providing the Services.

6. Payment Terms

Certain features of our Services require payment. By subscribing to a paid plan, you agree to:

• Pay all fees in accordance with the pricing and payment terms presented to you
• Provide accurate billing information and keep it updated
• Authorize us to charge your payment method for recurring subscription fees

Fees are non-refundable except as required by law or as explicitly stated in these Terms. We reserve the right to modify our pricing with 30 days' notice.

7. Service Level and Support

We strive to maintain high availability of our Services. However, we do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice when possible. Support is provided according to your subscription plan.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT GUARANTEE THAT OUR SECURITY EVALUATIONS WILL DETECT ALL VULNERABILITIES OR PREVENT ALL SECURITY INCIDENTS. THE SERVICES ARE INTENDED TO SUPPLEMENT, NOT REPLACE, YOUR OWN SECURITY PRACTICES.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASYMPTOTE LABS INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Asymptote Labs Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services or violation of these Terms.

11. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms.

Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any disputes arising out of or related to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the decision of the arbitrator shall be final and binding.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after any changes constitutes acceptance of the modified Terms.

14. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Asymptote regarding the Services.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver.
• Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
